Investment structure

• Fides SPV to acquire controlling or non-controlling stake in investee companies
• Debt financing to be raised separately by investee companies by leveraging equity injection

• Capital commitments directly into a special purpose vehicle from Class A and Class B equity investors
• Class A equity providers will be initial investors in Fides
